A provisional charter was granted to this corporation by action of the Board of Regents on December 21, 1990.  Such provisional charter was made absolute by Regents action on February 7, 1996.  The board of trustees has applied for an amendment to the absolute charter to specify the number of trustees to be not less than five nor more than fifteen. The Office of Cultural Education recommends that the absolute charter be amended accordingly.

An absolute charter in the first instance was granted to this corporation by action of the Board of Regents on March 19, 1896 to operate a public library.  The board of trustees has applied for an amendment to the absolute charter to specify the number of trustees to be not less than five nor more than nine, with the current number being five, to designate the Commissioner of Education as agent of the corporation upon whom process in any action or proceeding against it may be served, and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3).  The Office of Cultural Education recommends that the absolute charter be amended accordingly.

The board of trustees and the board of directors have petitioned the Board of Regents, pursuant to Education Law §223, for an order of consolidation of Oyster Bay Railroad Museum and Friends of Locomotive  Number 35, Inc.   Oyster Bay Railroad Museum has separately petitioned the Board of Regents for a provisional charter.  Friends of Locomotive Number 35, Inc. was incorporated under §402 of the Not-For-Profit Corporation Law on July 29, 1994.  Oyster Bay Railroad Museum will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under the provisional charter granted to Oyster Bay Railroad Museum. This corporation was incorporated under the name of “The Baptist Education Society of the State of New York,” which was formed on March 30, 1927 by the consolidation of the “Baptist Education Society of the State of New York,” and the “New York Baptist Union for Ministerial Education,” pursuant to Chapter 418 of the Laws of 1927.  Such charter was amended on May 16, 1929, September 25, 1953 to change the corporate name to “Colgate Rochester Divinity School,” April 26, 1963, September 21, 1973, and on October 4, 2002 to change the corporate name to “Colgate Rochester Crozer Divinity School."   The board of trustees has applied to amend and restate its charter to specify the degrees the corporation is authorized to confer, to specify the number of trustees to be not less than five not more than thirty-seven, and to conform the charter provisions to more modern conventions.  The Office of Higher Education recommends that the absolute charter be amended accordingly.
