SUMMARY:

 

Attached are summary recommendations with respect to charter applications. A total of 23 charter actions are recommended involving 23 institutions, including 5 libraries, 1 museum, 2 historical societies, 8 nonpublic schools, 5 chartered postsecondary institutions, 1 education corporation and 1 not-for-profit corporation.

 

I recommend that the Regents approve each application in accordance with the recommendations contained in the respective summaries.

ABSOLUTE CHARTER

SAVONA FREE LIBRARY

 

Savona, Steuben County

 

A provisional charter was granted to this corporation by action of the Board of Regents on January 1, 1925 to operate an association library serving the village of Savona,  county of Steuben, state of New York. Such provisional charter was extended by Regents action on July 18, 1941, September 19, 1947, May 25, 1951, May 25, 1956, June 23, 1961, May 25, 1966 and September 20, 1996. The board of trustees has applied for an amendment to the provisional charter to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3) and to designate the Commissioner of Education as the agent of the corporation for the purpose of service of process and, as so amended, for an absolute charter. Janet M. Welch and the Office of Cultural Education recommend that the provisional charter be amended accordingly and, as so amended, be made absolute.

A provisional charter was granted to this corporation by action of the Board of Regents under the corporate name “Kinderhook Free Library” on October 18, 1928 to operate an association library to serve the village of Kinderhook. Such provisional charter was amended by Regents action on January 18, 1934 to change the corporate name to “Kinderhook Memorial Library”; was extended by Regents action on July 18, 1941 and June 20, 1947 and was made absolute by Regents action on December 21, 1951. The board of trustees has applied for an amendment to the absolute charter to define the service area as the town of Stuyvesant in totality and the town of Kinderhook except for the village of Valatie, the hamlet of Niverville and the area to the east of and including County Route 28B and Plum Tree Drive, to designate the Commissioner of Education as the agent of the corporation for the purpose of service of process and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3).  Janet M. A absolute charter in the first instance was granted to this corporation by action of the Board of Regents on June 16, 1939 to operate a school district library to serve the Central School District No.1 in the towns of Hunter, Jewett and Lexington. The board of trustees has applied for an amendment to the absolute charter to change the corporate name to “Hunter Public Library” and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3).  Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

A provisional charter was granted to this corporation by action of the Board of Regents on January 3, 1924 to operate an association library to serve the town of Pulteney, county of Steuben. Such provisional charter was extended by Regents action on September 19, 1941, December 20, 1946, September 19, 1951, April 27, 1962 and June 24, 1966 and was made absolute by Regents action on June 23, 1972. The board of trustees has applied for an amendment to the absolute charter to define the service area as the town of Pulteney; to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3); and to designate the Commissioner of Education as the agent of the corporation for the purpose of service of process. Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

WIDE AWAKE CLUB LIBRARY

 

Fillmore, Allegany County

 

A provisional charter was granted to this corporation by action of the Board of Regents on November 4, 1897 to operate an association library to serve the town of Hume, county of Allegany. Such provisional charter was made absolute by Regents action on May 21, 1903. Such absolute charter was amended by Regents action on November 7, 1973 to increase the number of trustees to five and on October 4, 2002 to define the service area as the town of Hume; to indicate that the number of trustees shall not be more than eleven nor less than five, and to designate the Commissioner of Education as the agent of the corporation for the purpose of service of process. The board of trustees has applied for an amendment to the absolute charter to define the service areas as the Fillmore Central School District minus that portion that is in the town of Pike. Janet M. Welch and the Office of Cultural Education recommend that the absolute charter be amended accordingly.

The board of trustees has petitioned the Board of Regents to form a corporation to establish and maintain a museum of works primarily of Isamu Noguchi; to collect, own, hold, maintain, preserve, and make available appropriate objects and artifacts; to arrange, create, maintain and promote appropriate exhibits; to establish and maintain a research library and archives; to promote and support educational programs, research and scholarship, issue publications in all formats, and organize cultural activities, programs and events to educate the public about the work of Isamu Noguchi and of other artists represented in the collection. Clifford A. Siegfried, David W. Palmquist and the Office of Cultural Education recommend that a provisional charter be granted for a period of five years.

The board of trustees has petitioned the Board of Regents to form a corporation to promote and encourage original historical research; to disseminate and encourage a greater knowledge of the history of the state of New York and particularly of the town of Fayette and its environs; to gather, preserve, display and make available for study artifacts, relics, books, manuscripts, papers, photographs, and other records and materials relating to the history of the state of New York and particularly of the town of Fayette and the surrounding area; to encourage the suitable marking of places of historic interest; and to acquire by purchase, gift, devise or otherwise the title to or the custody and control of historic sites and structures and preserve and maintain such sites and structures. Clifford A. Siegfried, David W. Palmquist, Christine Kleinegger and the Office of Cultural Education recommend that a provisional charter be granted for a period of five years.

The board of trustees has petitioned the Board of Regents to form a corporation to disseminate and encourage a greater knowledge of the history of the town and village of Unadilla; to encourage local history and original research; to gather, collect, own, hold, preserve, display and make available appropriate artifacts, books, manuscripts, photographs, and other records and materials that relate to the town and village of Unadilla; to encourage the suitable marking of places of historic interest in the town and village of Unadilla; to acquire, restore, preserve and maintain historic sites and structures in the town and village of Unadilla; and to encourage public interest in local history, hold meetings, programs and events, sponsor exhibits, and issue publications in any format. Long Island City, Queens County

 

The board of trustees and the board of directors have petitioned the Board of Regents, pursuant to Education Law §223, for an order of consolidation of The Isamu Noguchi Foundation and Garden Museum and The Isamu Noguchi Foundation, Inc. The Isamu Noguchi Foundation and Garden Museum has petitioned the Board of Regents for a provisional charter. The Isamu Noguchi Foundation, Inc. was incorporated under §607 of the Membership Corporation Law (MCL) on November 6, 1967. Such certificate of incorporation was restated under §805 of the Not-For-Profit Corporation Law (NPCL) on December 24, 1980 with the consent of the New York State Education Department. Upon the effective date of the consolidation of The Isamu Noguchi Foundation and Garden Museum and the Isamu Noguchi Foundation, Inc., The Isamu Noguchi Foundation and Garden Museum will assume all the assets, liabilities and responsibilities of both organizations. The consolidated corporation will operate under the provisional charter granted to The Isamu Noguchi Foundation and Garden Museum. Clifford A. Siegfried, David W. A provisional charter was granted to this corporation by action of the Board of Regents on December 15, 1978 to operate a nursery school and kindergarten for the education of children ages two years, eight months to six years inclusive by application of the Maria Montessori method of teaching.  Such provisional charter was extended by Regents action on June 25, 1982, January 17, 1990 and July 23, 1993. Such extended charter was amended by Regents action on September 20, 1996 to add authority for the School to also operate a grade one elementary school and, as so amended, extended and was further extended on February 8, 2000. The board of trustees has applied for an amendment of the charter to change the corporate address to 400 Fort Hill Avenue, Building 34, Canandaigua, New York 14424; to add authority for the corporation to also operate a toddler program for children from 18 months to 36 months old; and to add authority for the corporation to also operate a day care center and, as so amended, extended. Thomas E. A provisional charter was granted to this corporation by action of the Board of Regents on June 14, 1996 to operate a preschool for children with and without developmental delays and/or behavioral difficulties from three to five years of age; a kindergarten for five year olds with and without developmental delays and/or behavioral difficulties and a grade one through eight elementary school for children with and without developmental delays and/or behavioral difficulties.  Such provisional charter was amended by Regents action on November 6, 1998 to add authority for the corporation to also operate a day care center, and, to specify that the Center’s principal office is located at 44 Meadow Way, East Hampton, New York 11937, with its mailing address at P.O. Box 7115, Amagansett, New York 11930 and, as so amended, extended and was further amended by Regents action on February 6, 2001 to change the corporate purposes to delete the operation of a kindergarten and grade one through eight elementary school for children with and without developmental delays and/or behavioral difficulties and to limit the purposes to the operation of a preschool for children with and without developmental delays and/or behavioral difficulties from three to five years of age. The board of trustees has applied for an extension to the provisional charter. The Office of Vocational and Educational Services for Individuals with Disabilities (VESID) has been provided with an opportunity to review this action and the trustees have been advised that the granting of the amendment does not constitute approval for state funding for programs and services under the jurisdiction of VESID. Thomas E. Hogan and the Office of Nonpublic School Services recommend that the provisional charter be extended for a period of three years to allow the corporation additional time to develop its programs and to otherwise demonstrate that it can meet the requirements for an absolute charter.

The board of trustees has applied for an amendment to the charter to specify the corporation will be a membership corporation, that the members shall be ex officio the Bishop of the Diocese of Buffalo, the Chancellor of the Diocese of Buffalo, the Superintendent of Catholic Education of the Diocese of Buffalo, the Diocesan Director of Catholic Charities, and the pastor and/or administrator of SS. Columba-Brigid Roman Catholic Church, to specify certain management powers that are reserved to said members, and as so amended, extended. Thomas E. Hogan and the Office of Nonpublic School Services recommend that the provisional charter be amended, and as so amended, extended for a period of three years to allow the corporation additional time to continue developing its programs and to otherwise demonstrate that it can meet the requirements for an absolute charter.

A provisional charter was issued to this corporation by action of the Board of Regents on September 24, 1982 to operate and maintain a school that will offer instruction at the preschool level and kindergarten through grade three. Such provision charter was made absolute by Regents action on June 21, 1985. The board of trustees has applied for an amendment to the charter to restate the document in its entirety as a cohesive document which will specify the corporation will be a membership corporation, that the members shall be the Provincial and Provincial Council of the United States Province of the Religious of Jesus and Mary or its successors, that the trustees shall be appointed by said members, to specify the reserved powers of the members, and to include modern dissolution language required by the U.S. Internal Revenue Service. Thomas E. Hogan and the Office of Nonpublic School Services recommend that the absolute charter be amended to restate the charter in its entirety, as requested.

The board of trustees has petitioned the Board of Regents for the dissolution of the charter since the school is no longer in operation and all taxes payable by the corporation have been paid. The trustees request Regents approval of the storage of students records at 13302 Stillwater Road, Waterport, New York 14571. Thomas E. Hogan and the Office of Nonpublic School Services recommend that the provisional charter of World Life Institute Education Center be dissolved and that the student records be stored at 13302 Stillwater Road, Waterport, New York 14571.

Dye, Jr. Center of the Long Island Lighting Company (LILCO) to offer to academically-qualified employees of LILCO a program of study leading to the degree of Master of Business Administration (M.B.A.) in management and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3); December 16, 1994 to add authority for the University to confer the degree of Doctor of Psychology (Psy.D.); February 3, 1999 to add authority for the University to confer the degree of Master of Laws (LL.M.); and June 13, 2000 to add authority for the University to establish and operate a museum and to hold collections. The board of trustees has applied for an amendment to the absolute charter to add authority for the University to confer the Master of Health Administration (M.H.A.). A provisional charter was granted to this corporation by action of the Board of Regents on March 22, 1979 to establish a center for the development and dissemination of information concerning Gestalt psychology; to offer to the public courses, seminars and workshops concerned with personal growth and development; to offer skilled training in the application of Gestalt methods in special settings, including the classroom, social services agencies, special education and organizations; and to train persons with the appropriate background in Gestalt methods, and to issue to those who have received the required training and completed the established course a certificate evidencing such fact.  Such provisional charter was extended by Regents action on January 18, 1983, September 20, 1985 and September 15, 1989; was amended by Regents action on February 19, 1993 to indicate that the corporation also operates at 57 Bounty Lane, Jericho, Nassau County, New York 11753 and to add the language necessary to maintain tax-exempt status under Internal Revenue Code §501(c)(3) and, as so amended, further extended and on September 18, 1998 to specify that the Center was operating only at 110 Wilmington Drive, Melville, Suffolk County 11747 and, as so amended, extended. The board of trustees has applied for an extension of the provisional charter. Johanna Duncan-Poitier and the Office of the Professions recommend that the provisional charter be extended for a period of five years to allow the corporation additional time to demonstrate that it can meet the requirements for an absolute charter.

WESTCHESTER JEWISH COMMUNITY SERVICES EDUCATIONAL INSTITUTE

 

Hartsdale, Westchester County

 

A provisional charter was granted to this corporation by action of the Board of Regents on June 25, 1993 to offer non-certificate skill-enhancement training programs to licensed social workers, school psychologists, psychologists, psychiatrists, guidance counselors, nurses and educational specialists in clinical therapy, clinical assessment, psychological and educational assessment, psychotherapeutic techniques, supervision and administration. Such provisional charter was extended by Regents action on July 17, 1998.  The board of trustees has applied for an extension of the provisional charter.  Johanna Duncan-Poitier and the Office of the Professions recommend that the provisional charter be extended for a period of five years to allow the corporation additional time to develop its programs and otherwise demonstrate that it can meet the requirements for an absolute charter.
