AMENDMENT OF CHARTER

No. 1

THE BANK STREET COLLEGE OF EDUCATION

Manhattan, New York County

A provisional charter was granted to this corporation by action of the Board of Regents under the corporate name “Bureau of Education Experiments” on September 10, 1931.  Such provisional charter was amended on February 22, 1935 and made absolute on January 17, 1941.  Such absolute charter was amended to change the corporate name to “The Bank Street College of Education” on November 17, 1950 and further amended on several occasions with the most recent being June 16, 1989.  The board of trustees has applied for an amendment to the absolute charter to authorize operation as a non-membership corporation; to increase the maximum number of trustees to forty; and to change the number of trustees required to fix the term of office and the number of trustees from three-quarters to two-thirds of all the members of the board of trustees. The Office of Higher Education recommends that the absolute charter be amended accordingly.
